Since its founding in 2017, Atlas Renewable Energy has established itself in the Americas as one of the region's fastest-growing large-scale clean energy generators.What are we looking for?A LEGAL COUNSEL - M&A AND DEVELOPMENT who must be located in SAO PAULO and have the mission of safeguarding the organization's legal posture in all the operations and transactions under its supervision.What Challenges will you face?Provide legal advice, draft, review, and negotiate real estate agreements and public deeds (Surface Rights, infrastructure sharing, etc.).Provide legal advice, draft, review, and negotiate M&A agreements (NDAs, NBOs, MOUs, SPAs, and Asset Purchase) and POAs for the Development Licenses and New Businesses teams, ensuring the company adheres to all legal and regulatory requirements.Support the Land team in defining the strategy and reviewing drafts of settlement agreements of right-of-way indemnifications.Management of outside counsel that conducts legal/administrative proceedings involving real estate claims filed on behalf of Atlas project legal entities.What specific knowledge do you require?Bachelor's degree required: Laws.Solid experience providing legal advice on project and M&A transactions as in-house counsel or working for law firms, drafting, reviewing, and negotiating with third parties' transaction documents.Expert legal knowledge of land agreements in Brazil, such as leases, rights of surface assignment, and other real estate transactions, including public registry and tax aspects.Land litigation - desirable .Energy sector regulation in Brazil - desirableWhat does Atlas offer you?Belong to a multicultural, inclusive, and diverse environment.
